Yes. South African company law allows foreign nationals to be sole or co-directors of a Pty Ltd. There's no minimum-citizenship requirement. The friction is operational - you can't use BizPortal (it requires a SA ID), you'll need a SA registered address, and SARS + banks make KYC harder.

What you need

  • Certified copy of your passport.
  • Proof of foreign address (utility bill, bank statement).
  • A SA registered address for the company - this can be a virtual office, an accountant's address, or a SA co-director's address. Many service providers offer virtual office for R150-R600/month.
  • If you have a SA visa or permit, attach it - it speeds up bank account opening.

Where to register

CIPC eServices (https://eservices.cipc.co.za), not BizPortal. The forms are the same (CoR15.1A short-form MOI for a standard Pty) but eServices accepts non-SA-ID directors. Cost: R175 short-form, R475 long-form.

After registration

  • SARS company tax registration: you'll need to submit additional KYC. SARS may require a SA-resident representative taxpayer.
  • Bank account: significantly harder than for SA-citizen directors. FNB and Standard Bank are usually the most foreign-director-friendly. Budget 4-12 weeks. Some founders use Mercury (US) or Wise for cross-border revenue and only open a SA account once they have a stable trading record.
  • VAT and BEE: same rules apply once you cross the thresholds.
  • Exchange Control: SARB Reserve Bank rules govern moving money out of SA. Foreign-controlled companies have specific rules around dividend repatriation.
