How to Add a Director at CIPC (Form CoR39, 2026)

When you need this
Adding a director changes the people legally responsible for running your Pty. Required: shareholder approval (special resolution if your MOI demands it, ordinary resolution otherwise), then a CIPC filing.
Step 1: Get shareholder consent
Pass a resolution appointing the new director. Most Ptys require 50%+ shareholder approval (ordinary resolution). Some MOIs require 75%+ (special resolution). Check your MOI.
Step 2: File CoR39 at CIPC
- Log in to https://eservices.cipc.co.za.
- Find Director Amendments / Notice of Change of Directors.
- Submit Form CoR39 with new director's name, ID, address, appointment date.
- Attach: certified ID copy of new director, resolution authorising appointment, consent letter signed by new director.
- Pay R100 (electronic).
- Wait 1-3 working days for processing.
Step 3: Update SARS
Update the company's registered details on eFiling: Organisations -> SARS Registered Details -> Maintain Registered Particulars. Add the new director's ID. Required for accurate FICA records on file with SARS.
Step 4: Update your bank, BEE, and other registrations
- Bank: most banks require notification + new FICA pack within 30 days.
- BEE affidavit: re-issue if ownership changes (most affidavits become invalid on director change).
- CSD: update supplier details on https://secure.csd.gov.za.
- CIDB / PSIRA / NHBRC: file director change with sector regulator.
Frequently asked questions
Do I need a face-to-face director?
No - directors can be remote. SA Companies Act requires one resident director only when foreign directors are involved at certain entity types (NPC, Inc).
Can I add a foreign director?
Yes for Pty Ltd. The new director needs a passport copy (certified) and proof of address. Banking will be harder for the new director's KYC.
How long does CIPC take?
1-3 working days for clean CoR39 submissions. Up to 4 weeks if SARS or address verification is queried.
